Baumeister Desktop — Terms of Use

These Terms of Use ("Terms") govern your download, installation, and use of the Baumeister Desktop software ("Software") provided by Baumeister Private Server ("Baumeister," "we," "us," or "our"). By downloading, installing, or using the Software, you agree to be bound by these Terms. If you do not agree, do not download or use the Software.

1. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software on your personal computer(s) for personal or commercial use, subject to these Terms. The Software is licensed, not sold.

2. Permitted Use

You may:

• Install and use the Software on computers you own or control
• Use the Software to build, deploy, and host web applications on your own hardware
• Use the built-in AI assistant with your own API keys from supported providers
• Connect the Software to third-party services (Cloudflare, Stripe, AI providers) under their respective terms

3. Restrictions

You may not:

• Redistribute, resell, sublicense, or make the Software available for download to third parties
• Reverse engineer, decompile, or disassemble the Software except as permitted by applicable law
• Remove or alter any proprietary notices, labels, or branding in the Software
• Use the Software to build or distribute applications that are illegal, harmful, or violate the rights of others
• Circumvent, disable, or interfere with any license verification, usage tracking, or subscription validation mechanisms in the Software
• Share, publish, or redistribute API keys, subscription credentials, or access tokens obtained through the Software or its services
• Use a single Assistant Pro subscription across multiple devices or installations simultaneously unless expressly authorized

4. Assistant Pro Subscription

The Software includes an optional paid subscription service ("Assistant Pro") that provides access to AI-powered coding assistance. If you subscribe to Assistant Pro:

• Subscription fees are billed monthly through Stripe at the rate displayed at the time of purchase
• You may cancel at any time; access continues until the end of the current billing period
• Usage limits (Sonnet and Opus requests) reset monthly and do not roll over
• One subscription is valid for one device at a time; using a subscription on multiple devices simultaneously is not permitted
• We reserve the right to modify pricing, usage limits, or features with 30 days' notice
• Refunds are handled on a case-by-case basis; contact [email protected]

5. Bring Your Own Key (BYOK)

The Software allows you to connect your own API keys from third-party AI providers (Anthropic, OpenAI, xAI, Google). When using BYOK:

• You are responsible for your own API key security and usage costs
• We do not store, transmit, or have access to your API keys beyond what is necessary to make API calls on your behalf from your local installation
• Your use of third-party APIs is subject to those providers' terms of service
• We are not responsible for charges incurred through your API provider accounts

6. Data and Privacy

The Software runs locally on your hardware. Your data, projects, files, and configurations are stored on your computer and are not transmitted to Baumeister servers except:

• Subscription verification requests (your email address is sent to our server to validate your Assistant Pro subscription status)
• AI API calls are sent directly to the AI provider (Anthropic, OpenAI, etc.) from your installation — not routed through our servers
• Cloudflare Tunnel connections, if you choose to enable public access to your applications

We do not collect analytics, usage data, or telemetry from the Software. We do not sell or share your personal information with third parties.

7. Third-Party Services

The Software integrates with third-party services including Docker, Cloudflare, Stripe, and various AI providers. Your use of these services is governed by their respective terms and privacy policies. We are not responsible for the availability, performance, or terms of third-party services.

8. System Requirements

The Software requires Docker Desktop to be installed and running on your computer. Docker Desktop is a third-party application subject to Docker's terms of service. You are responsible for ensuring your system meets the minimum requirements for both Docker Desktop and the Software.

9. Intellectual Property

The Software and all associated branding, documentation, and materials are the intellectual property of Baumeister Private Server. Applications and content you create using the Software belong to you. We claim no ownership over your projects, files, or data.

10. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Software will be uninterrupted, error-free, or free of harmful components. You use the Software at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BAUMEISTER PRIVATE SERVER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SOFTWARE. Our total liability for any claims arising from these Terms or your use of the Software shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Baumeister Private Server and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Software, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may terminate or suspend your license to use the Software at any time if you violate these Terms. Upon termination, you must cease all use of the Software and delete all copies. Termination does not affect your ownership of applications and data you created using the Software.

14. Updates and Modifications

We may release updates to the Software from time to time. Updates may be required for continued functionality of certain features, including Assistant Pro. We reserve the right to modify these Terms at any time. Updated Terms will be posted at this URL. Your continued use of the Software after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State in which Baumeister Private Server is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of that jurisdiction.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and Baumeister Private Server regarding the Software and supersede all prior agreements, understandings, and communications.
